These are the Terms of Service for Basket, the mobile and web application and browser extensions accessible from https://www.trybasket.com, Google Play, Apple App Store, Google Chrome Extension Store, Firefox add-ons directory and Microsoft Edge Extensions Store.

Chances are you're not going to read all of our Terms unless you're a competitor of ours or a disgruntled customer; to the former, good luck and to the latter just get in touch via the chat on our app and we'll do our best to make you feel good. For the rest of you, we thought it would be useful to break it down nice and simple.

The essentials

  1. We respect your privacy. We’ll never sell your personal information, such as your name, email address, or anything that directly identifies you. However, we may use aggregated and anonymized data to improve Basket, provide better insights, and work with trusted partners to enhance your experience. This information will never identify you personally. If you have any questions or concerns, share with us at data@trybasket.com
  2. We make money from affiliate commissions when you click "View" on products, and from our margins on gift card sales. We share some of these earnings with you through our points-based rewards system. Points have no monetary value until you choose to redeem them. Points are not electronic money or stored value - they're simply our way of tacking your progress towards rewards you can claim.
  3. We do our best to make Basket as useful and relevant to you as possible. To do this, we collect and review data while you use Basket to fix bugs, improve the data about products you add, and make the Basket experience more intuitive and feature rich. We may also use this data to create exclusive offers to buy the products you add to Basket, from retailers that offer them.
  4. We offer cashback points when you buy gift cards through Basket. You'll need at least 1,000 points (equivalent to £10.00) in your account to withdraw, and cashback points expire after 12 months if unused. We limit the number of gift cards you can buy per month to 500 to prevent fraud.
  5. We may delete or suspend your account if you're using Basket in a way that doesn't follow our Terms of Service, such as anything illegal, unethical, or exceeding what we consider to be fair usage. We do this to ensure Basket remains a safe and enjoyable experience for everyone.

1. Introduction and Acceptance of Terms

When you use Basket, these Terms of Service ("Terms") apply and constitute a legally binding agreement/contract between Intent Technologies Ltd ("Basket", "we", "us" and "our") and you as a user of our Service ("User", "you") regarding the service described below (the "Service").

Our Privacy Policy, available at https://www.trybasket.com/policies/privacy ("Privacy Policy") governs our collection, processing and transfer of any Personal Data (as defined in the Privacy Policy).

Our Cookie Policy, available at https://www.trybasket.com/policies/cookies ("Cookie Policy"), details our use of cookies to deliver the Service.

Please read these Terms carefully before using the Service. By using our Service, you agree to be bound by these Terms, our Privacy Policy and Cookie Policy relating to the use of the Service.

To be eligible to use the Service, you must be at least 18 years old, have the capacity to consent and be capable of entering into a legally binding contract.

We may amend the Terms from time to time and when you continue to use the Service after such an update, we will consider this your acceptance of any such amendment or update. When you register for a Basket account, use any of our Service, or submit/transmit any material to or from our Service, you signify your assent to these Terms as they relate to the use of the Service. We will make commercially reasonable efforts to contact you in respect of any material changes.

If you do not agree to any of these Terms, please do not use and/or register to use the Service.

2. Regulatory Status and Important Disclosures

2.1 Financial Services

We are NOT regulated by the Financial Conduct Authority (FCA). Our points system is designed as a closed-loop loyalty program and does not constitute:

  • Electronic money (e-money)
  • Payment services
  • Stored value
  • Any regulated financial product

2.2 Tax Reporting - Your Obligations

From January 2025, we are required to report certain user earnings to HMRC under the Digital Platform Reporting Requirements.

Automatic HMRC Reporting: We must report to HMRC if you meet ANY of these thresholds:

  • Annual earnings exceed £1,700 from all points redemptions
  • Complete more than 30 redemption transactions annually
  • Participate in the Creator Program (regardless of earnings)

Important: Only cashouts/redemptions count toward the 30-transaction threshold, not gift card purchases or other platform activity.

What Gets Reported:

  • Your name, address, and tax identification number
  • Total annual earnings from points redemptions
  • Number of redemption transactions

Your Responsibilities:

  • Declare all earnings on your tax return
  • Maintain records of redemptions
  • Provide accurate tax information when requested

Failure to provide required tax information may result in account suspension and withholding of redemptions.

2.3 Consumer Protection

You have strong protection under UK consumer law including:

  • Consumer Rights Act 2015
  • Consumer Contracts Regulations 2013
  • UK GDPR and Data Protection Act 2018

3. Description of the Service

3.1 Core Services

Basket provides a comprehensive shopping assistant service that enables an efficient and inspiring shopping experience. The Service includes:

  • Price Tracking and Alerts: Monitor and receive notifications about price changes, stock availability, and sales on products you bookmark
  • Product Organisation: Create and manage collections ("baskets") to organise your shopping across thousands of retailers
  • Browser Extension: Automatically find and apply coupon codes at checkout and bookmark products with one click
  • Gift Card Marketplace: Purchase digital gift cards from participating retailers with instant cashback rewards
  • Shopping Collaboration: Create and join collaborative, public and gift baskets to share your shopping with others
  • Cross-platform Access: Synchronise your baskets across web, mobile apps, and browser extensions

3.2 Basket Account Features

Creating a Basket account provides you with:

  • Product bookmarking (subject to our Fair Usage Policy of 5,000 products)
  • Private baskets for organising your bookmarked products
  • Public baskets for publicly sharing your bookmarked products
  • Shared baskets for collaborative bookmarking and product organising with other Basket users
  • Personalised deals via in-app messages, push notifications and email
  • Cashback points rewards tracking and redemption
  • Referral points rewards tracking and redemption
  • Option to participate in competitions

3.3 Browser Extension Features

Our browser extension (available for Safari (iOS only), Chrome, Firefox, and Edge) enhances your shopping experience with:

  • One-click product bookmarking to your Basket account
  • Organise your bookmarked products into baskets while saving
  • Automatically apply coupon codes at checkout
  • Automatically bookmark product pages that you view as you browse

The extension requires certain permissions to function, including access to retailer websites you visit. We collect data necessary to provide these features, and to better understand the products you view and your shopping journey on retailer websites so we can improve the Basket Service, and provide you with personalised communications and offers.

3.4 Digital Content Standards - Free Service

Basket is provided as a free service. As such, the statutory quality standards under the Consumer Rights Act 2015 do not apply to our core Service.

Free Service Disclaimer: Our free Service is provided "as is" and "as available" without warranties of any kind, either express or implied. While we endeavour to provide a useful service, we cannot guarantee that:

  • The Service will be uninterrupted, timely, secure or error-free
  • Digital content will be free from defects, viruses or other harmful components
  • The Service will meet your specific requirements or expectations
  • Any defects in the Service will be corrected
  • Information displayed (including prices and product availability) will be accurate or current

Third-Party Data: Much of the content in Basket is collected from third-party websites through automated processes. We make no representations about the accuracy, reliability, completeness or timeliness of such data. Product information, prices, and availability shown in Basket may differ from actual retailer offerings. Some content presented in Basket may be summarised or enriched using third-party data or automated systems. While we strive for accuracy, we cannot guarantee completeness or correctness of this information.

Limited Liability for Damage: Notwithstanding the above, under Section 46 of the Consumer Rights Act 2015, if our digital content causes damage to your device or other digital content due to our failure to use reasonable care and skill, you may be entitled to repair or compensation. This is your statutory right which cannot be excluded.

Paid Services: Different terms apply to any paid services we offer, including Creator subscriptions. See Section 7 for details.

3.5 Cancellation Rights

Free Service: As Basket is provided free of charge, the 14-day cancellation rights under the Consumer Contracts Regulations 2013 do not apply. You may stop using the Service and delete your account at any time as set out in Section 16.2.

Gift Card Purchases: Gift cards are subject to the following cancellation rights:

  • Once a gift card code is delivered and activated, it cannot be cancelled or refunded as the service has been fully performed
  • By purchasing a gift card, you expressly request immediate delivery and acknowledge that you lose your right to cancel once the gift card code is delivered
  • We may refuse the right to refund a gift card purchase at any time. All purchases are final.

Creator Subscriptions: Paid Creator subscriptions have separate cancellation rights. See Section 6.7 for details.

4. Points Program

The Basket Points Program is our closed-loop loyalty reward system that enables users to earn rewards through various activities on our platform.

4.1 Nature of Points

Important Legal Status: Points are NOT electronic money, e-money, or stored value under the Payment Services Regulations 2017 or E-Money Regulations 2011. Points constitute solely a contractual right to claim specific rewards we offer. By using points, you acknowledge that:

  • Points are loyalty rewards, not financial instruments or payment services
  • Points have NO inherent monetary value
  • Points cannot be transferred, sold, or exchanged except through our platform
  • The 100 points = £1.00 ratio is solely for display purposes and does not create monetary value
  • Points do not constitute a claim on any segregated funds or assets
  • We may modify or discontinue the points program at our discretion with 30 days notice

4.2 Earning Points

Currently, points can be earned through:

  • Gift Card Cashback: Earn points on gift card purchases at rates displayed before purchase (see Section 5)
  • Referral Program: Earn 500 points (£5.00 equivalent) per qualifying referral when available (see Section 4.6)

All points awards are at our sole discretion.

  • We may modify earning rates at any time without notice
  • We may withdraw or modify the program with 30 days notice
  • Suspected fraud results in immediate account suspension
  • We reserve the right to reclaim points awarded in error

4.3 Points Conversion and Redemption

Conversion Rate:

  • Fixed at 100 points = £1.00 GBP for display purposes
  • International conversions use the GBP rate as the base

Redemption Options: Points can ONLY be redeemed for:

  • Bank transfer to your registered UK bank account (when made available)
  • Purchase of additional gift cards on our platform

Restrictions:

  • Points cannot be transferred between users or accounts
  • Points cannot be used as payment for any other services

4.4 Redemption Requirements

4.4.1 Minimum Balance

  • You must obtain at least 1,000 points (equivalent to £10.00) to access any redemption
  • This minimum applies to EVERY redemption, not just your first

Examples of minimum balance

  1. If you have earned less than 1,000 points, you are NOT eligible for redemption
  2. If you have earned 1,000 points, and it is your first redemption, and you meet the criteria in Section 4.4.2, then you are eligible for redemption of some or all of your points balance
  3. If you have earned 1,000 points, and it is not your first redemption, then you are eligible for redemption of some or all of your total points balance
  4. If you have earned 1,500 points and withdraw 1,000, your remaining 500 points cannot be redeemed until you earn another 500 points

4.4.2 First Redemption

Your first redemption must include points earned from at least one gift card purchase. Once this requirement is met, all accumulated points become eligible for future redemptions.

4.4.3 Processing Times

  • Gift card redemptions: Typically within 5 seconds
  • Bank transfers: 3-5 business days (Monday-Friday excluding UK bank holidays)

4.5 Points Expiry

  • Points expire exactly 365 days after the date earned
  • Expiry occurs at 23:59 GMT on the expiration date
  • Points are used first-in, first-out (FIFO)
  • Expired points cannot be restored

Expiry Notifications: We will send you a notification 30 days prior to any points expiry. Notifications are sent to your registered email and device (your responsibility to maintain).

4.6 Referral Program

When available, our referral program allows you to earn 500 points per qualifying referral.

Qualifying Requirements:

  • You must have reviewed your profile image, name and username
  • You must have verified your email address and phone number
  • Referred user must be new to Basket
  • Referred user must complete Basket registration within 30 days of clicking your referral link
  • Referred user must verify email AND phone number
  • Referred user must earn 1,000 points from activated gift cards within 365 days
  • Maximum 10 referrals per account (additional referrals are available at our discretion)
  • Referral rewards expire after 12 months if unclaimed
  • All referral rewards are discretionary

4.7 Account Limits and Restrictions

  • Maximum balance: 50,000 points (£500) - higher limits available for Creators (see Section 6)
  • Monthly transaction limit: 500 transactions across all activities
  • Fair usage: Suspected fraud or abuse results in immediate suspension

4.8 Tax Obligations

You are responsible for any tax obligations arising from points redemptions. We are required to report to HMRC if you meet thresholds detailed in Section 2.2.

5. Cashback & Rewards

Basket's Cashback Program allows eligible users to earn cashback rewards when purchasing gift cards through our platform. Cashback is funded from our margins and commission arrangements with retailers. Cashback is a specific method of earning points through gift card purchases.

All cashback is awarded as points subject to the Points Program terms in Section 4.

5.1 Earning Cashback

Qualifying Purchases:

  • Cashback points are earned only on successful gift card purchases through the Basket platform (app, website, or extension)
  • Rates vary by retailer and are clearly displayed before purchase
  • Rates may change at any time but will not affect purchases already completed
  • Rates are locked at the moment of payment initiation
  • Cashback points are credited instantly as points upon payment confirmation in the form of points
  • All cashback transactions are tracked in your points wallet
  • Cashback points for any refunded gift card are forfeited and removed from your points wallet

Rate Display:

  • Percentages/amounts shown include VAT where applicable
  • "Up to X%" indicates rates vary by purchase amount or payment method

5.2 Gift Card Purchase Terms

All gift card purchases that earn cashback points are subject to:

  • Terms in Section 7 (Gift Card Purchases)
  • Minimum age requirement of 18 years
  • Non-refundable policy except as required by law
  • Maximum 500 cashback transactions per calendar month

5.3 Cashback-Specific Redemption Rules

Cashback points earned through gift card purchases:

  • Follows all general conversion and redemption restrictions in Section 4.3
  • Follows all general points redemption rules in Section 4.4
  • Must comply with first redemption requirements in Section 4.4.2

5.4 Program Modifications

We reserve the right to:

  • Change cashback points rates for future purchases
  • Modify or discontinue specific retailer offerings
  • Implement additional anti-fraud measures
  • Suspend accounts showing suspicious purchase patterns
  • Impose additional restrictions to prevent abuse or ensure program sustainability

5.5 Disputes and Resolution

If you believe there is an error with your cashback points:

Dispute Process:

  1. Report via in-app support within 30 days of the transaction
  2. Provide: transaction ID, purchase receipt, description of issue
  3. We investigate within 7 business days (Monday-Friday excluding UK bank holidays)
  4. Resolution options:
    • Credit missing cashback points if error confirmed
    • Provide explanation if cashback points correctly calculated
    • Escalate to senior review if unresolved

Common Issues:

  • Cashback points rate changed between viewing and purchase: rate at time of payment applies
  • Payment failed but cashback points shown: automatically reversed within 48 hours
  • Different rate than expected: screenshot of displayed rate required for review

Final Determination: Our decision on cashback points disputes is final after senior review.

6. Creator Program

The Basket Creator Program enables qualifying content creators to earn enhanced rewards through our platform, operating within the Points Program framework (Section 4) with additional features and higher limits.

6.1 Eligibility and Application

The Creator Program allows approved content creators to expand their influence through our platform.

Requirements:

  • Minimum 10,000 combined followers across major platforms (TikTok, Instagram, YouTube, LinkedIn)
  • Verified Basket account with completed tax information
  • Maintain professional standards that don't harm our reputation
  • Complete our Creator application and approval process

6.2 Creator Points and Earnings

Creators earn points through:

  • Standard Methods: All earning methods available to regular users
  • Commission Sharing: Percentage of affiliate commissions from purchases through products in your public baskets
  • Click Rewards: Points for qualified clicks on products in your public baskets

Important: Merchant verification for commissions typically takes 30-90 business days (Monday-Friday excluding UK bank holidays) and is not guaranteed until confirmed.

6.3 Enhanced Limits and Fees

6.3.1 Enhanced Limits

  • Maximum balance: 250,000 points (£2,500) - may be increased for top performers
  • Higher transaction limits subject to individual agreement

6.3.2 Creator Fees

We charge either:

  • Percentage of earnings, OR
  • A monthly subscription

Fee structure determined by your influence level and performance metrics.

6.4 Tax Obligations - Creators

Enhanced Reporting Requirements: ALL Creator Program participants are automatically reported to HMRC regardless of earnings amount (see Section 2.2). You must:

  • Provide accurate tax information (including UTR number if UK self-employed)
  • Maintain records for tax purposes
  • Consider registering as self-employed if earning over £1,000 annually

International creators are subject to their local tax laws.

6.5 Content and Compliance Standards

Creators must:

  • Follow ASA/CAP Code requirements for affiliate disclosure
  • Clearly mark affiliate content with #Ad or #Affiliate
  • Not make false or misleading claims about products, services, brands or retailers
  • Maintain authentic engagement (no bot followers)
  • Not engage in practices that could harm our brand relationships

Violations may result in removal from the Creator Program while maintaining regular account access where appropriate.

6.6 Relationship to Standard Accounts

  • Creator accounts include all standard Points Program benefits
  • Cashback point earnings (Section 5) apply equally to Creators
  • Creator-specific terms override general terms only where explicitly stated
  • Removal from Creator Program does not affect earned points, subject to standard limits

6.7 Creator Subscription Plans

Creators may access enhanced features through optional paid subscription plans.

6.7.1 Subscription Features

Paid Creator subscriptions include:

  • Ability to add and manage custom affiliate links to products
  • A dashboard showing affiliate link performance metrics
  • Tracking of clicks, conversions and commission earnings
  • Priority support

6.7.2 Affiliate Commission Points

  • Earnings from custom affiliate links are credited as "Affiliate Commission Points"
  • These points are part of the Basket Points Program (Section 4)
  • Standard redemption rules apply (minimum 1,000 points, etc.)
  • Points from affiliate commissions may take 30-120 days to verify depending on merchant

6.8 Digital Content Quality Standards - Creator Subscriptions

As a paid service, Creator subscriptions are subject to statutory quality standards under the Consumer Rights Act 2015.

6.8.1 Our Obligations

The Creator subscription service will be:

  • Of satisfactory quality - functioning as a reasonable person would expect
  • Fit for purpose - suitable for managing affiliate marketing activities
  • As described - matching the features and functionality we advertise

6.8.2 Your Statutory Rights

If the Creator subscription service fails to meet these standards, you're entitled to:

  • Request repair or replacement of the faulty element
  • If repair/replacement is impossible or unsuccessful, a price reduction (potentially up to 100%)
  • Compensation for damage to your device or digital content caused by our faulty service
  • These rights are in addition to any contractual rights

6.8.3 Service Levels

While we aim for 98.5% uptime, we cannot guarantee uninterrupted service. Scheduled maintenance will be notified in advance where possible.

6.9 Creator Subscription Cancellation Rights

6.9.1 Cooling-Off Period

  • You have 14 days from starting your Creator subscription to cancel without reason
  • This applies to both paid subscriptions and free trials
  • To cancel, email creators@trybasket.com or use your account settings
  • We'll refund any payments within 14 days of receiving your cancellation

6.9.2 Free Trial Terms

  • Free trials automatically convert to paid subscriptions unless cancelled
  • You'll receive reminder emails 3 days and 1 day before trial ends
  • Cancellation during trial period prevents any charges
  • You retain the full 14-day cancellation right even after trial conversion

6.9.3 Waiving Cancellation Rights

If you want immediate access to paid features:

  • You can request immediate activation
  • You'll need to explicitly acknowledge losing your 14-day cancellation right
  • This choice will be clearly presented during signup

6.9.4 Monthly Subscriptions

  • Cancel anytime with effect from the end of the current billing period
  • No refunds for partial months after the initial 14-day period
  • Downgrading removes access to paid features immediately

6.9.5 Forfeiture of Affiliate Commission Points

Upon cancellation of your Creator subscription:

  • All unredeemed Affiliate Commission Points are immediately forfeited
  • Forfeited points become the sole property of Basket
  • This applies regardless of the value of unredeemed points
  • Points earned through standard methods (gift cards, referrals) are not affected
  • You will receive a warning about potential forfeiture before confirming cancellation
  • Once cancelled, forfeited points cannot be restored even if you resubscribe

6.10 Creator Subscription Payment Terms

6.10.1 Billing

  • Subscriptions are billed monthly in advance
  • Payments processed on the same date each month
  • Accepted payment methods: credit/debit cards via Stripe
  • Prices shown exclude VAT where applicable

6.10.2 Price Changes

  • 30 days' notice for any price increases
  • You may cancel before increase takes effect
  • Promotional pricing terms are fixed for the stated period

6.10.3 Failed Payments

  • 7-day grace period for failed payments
  • We'll attempt payment recovery and send reminders during grace period
  • Access restricted after grace period expires
  • Affiliate tracking continues but dashboard access is suspended

6.10.4 Forfeiture After Non-Payment

If payment is not received after the 7-day grace period:

  • All unredeemed Affiliate Commission Points are permanently forfeited
  • Forfeited points become the sole property of Basket
  • Your Creator account reverts to standard user status
  • Standard account limits apply (50,000 points maximum)
  • This forfeiture is irreversible, even if you later resume payment
  • We will send a final warning on day 6 of the grace period about pending forfeiture

6.10.5 Redemption Before Cancellation

We strongly recommend redeeming all Affiliate Commission Points before:

  • Cancelling your subscription
  • Allowing payment to fail
  • Making any changes to your subscription status

6.11 Affiliate Commission Points - Special Conditions

6.11.1 Nature of Affiliate Commission Points

  • These points are contingent upon maintaining an active paid Creator subscription
  • They are separate from points earned through standard methods
  • Access to these points requires continuous subscription payment

6.11.2 No Vesting Rights

  • Affiliate Commission Points do not vest or become permanent property
  • Your right to redeem exists only while subscription is active and paid
  • Basket retains reversionary rights to all unredeemed Affiliate Commission Points
  • These terms supersede any conflicting provisions in Section 4

7. Gift Card Purchases

Gift Cards are subject to the following terms in addition to those set out in Section 5:

7.1 Third-Party Issuers

Gift Cards are issued by third-party retailers, not Basket. We act solely as a marketplace. Each retailer's terms and conditions govern the use of their gift cards, including redemption procedures, usage restrictions, and expiration dates.

7.2 Eligibility and Age Requirements

You must be at least 18 years old to purchase Gift Cards. By completing a purchase, you represent and warrant that you meet this age requirement. Basket reserves the right to cancel transactions that violate this policy.

7.3 Payment and Fulfilment

Payment Processing: All payments are processed securely by Stripe, our PCI-compliant payment processor. Basket does not store your payment card details.

Digital Delivery: Gift Cards are delivered digitally in-app. Delivery is typically instant but may take up to 48 hours depending on the retailer.

Order Confirmation: You will receive confirmation via email and in-app notification upon successful purchase.

7.4 Non-Refundable Policy

All Gift Card purchases are final and non-refundable except:

  • Where required by applicable law
  • For defective gift cards (e.g., invalid codes) reported within 7 days of purchase
  • In cases of proven technical error or pricing error on our platform

7.5 Fraud Prevention

We reserve the right to refuse service, cancel orders, or revoke access if we suspect:

  • Use of multiple accounts to exploit promotions
  • Automated purchasing systems
  • Resale of gift cards purchased through our platform
  • Any other fraudulent or abusive behaviour

7.6 Liability Limitations

Basket is not liable for:

  • Retailer-imposed restrictions or policy changes
  • Lost or stolen gift card codes after successful delivery
  • Technical failures at the retailer's redemption system
  • Inability to use gift cards due to retailer bankruptcy or closure
  • Any disputes regarding gift card usage at retailers

7.7 Gift Card Supply Partners

Gift cards are supplied through our authorized gift card distribution partners, which may include:

  • Reward Cloud Limited (trading as "Tillo")
  • Runa Network Limited
  • Blackhawk Network (UK) Limited
  • Other authorized distributors we may engage

When you purchase a gift card:

  • The specific supplier will be identified at point of purchase
  • Each supplier's terms supplement these Terms
  • The contractual relationship for redemption remains between you and the brand
  • Risk passes to you upon delivery of the gift card code
  • We act as an intermediary and are not responsible for brand-imposed restrictions

Different suppliers may offer different brands, denominations, or regional availability.

8. Registration and Accounts

8.1 Account Eligibility

To be eligible for an account on our platform:

  • You must be a resident of the United Kingdom, Ireland, or India
  • You must be at least 18 years old
  • You must have the legal capacity to enter binding contracts
  • You must not be located in or a resident of the United States
  • You must not be subject to any sanctions or restrictions that would make it illegal for us to provide services to you

Geographic Restrictions:

  • Primary residence must be in UK, Ireland, or India
  • Account creation while traveling is permitted if you meet residency requirements
  • VPN use that masks your true location may result in account termination
  • We use various methods to verify location and may request proof of residency

8.2 Account Registration

You may register for an account by:

  • Completing our onboarding process
  • Providing a valid email address
  • Verifying your email via the confirmation link sent
  • Providing a valid phone number
  • Verifying your phone number via the confirmation code sent

Single Account Policy: Each user may maintain only one Basket account. Creating multiple accounts is prohibited and may result in termination of all accounts.

Account Consolidation: If you sign in using different methods (e.g., email/password and Google SSO) with the same email address, we will automatically link these to a single account.

8.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Notifying us immediately at hello@trybasket.com if you become aware of any security breach or unauthorised access of your account
  • Ensuring no other person uses your account

You must not:

  • Share your account credentials
  • Allow others to access your account
  • Use another person's account without express permission

You are responsible for any activity on our platform arising out of any failure to keep your credentials confidential, and may be held liable for any losses arising out of such a failure.

8.4 Fair Usage Policy

Usage Limits:

  • Maximum 5,000 products per account
  • Maximum 50 price checks per product per day
  • Reasonable personal use only

Enforcement Process:

  1. First violation: Warning email with specific breach details
  2. Second violation: 7-day account restriction
  3. Third violation: 30-day suspension
  4. Continued violations: Permanent termination

Appeals: Email hello@trybasket.com within 14 days with explanation. Decision final after review.

Exceptions: Business accounts may request higher limits at hello@trybasket.com

8.5 Cancellation and Suspension of Account

We may, at any time in our sole discretion:

  • Suspend your account;
  • Cancel your account; and/or
  • Edit your account details

You may cancel your account on our platform using your account settings on the platform.

9. User Content and Conduct

9.1 Content License

9.1.1 Grant of License

In these terms and conditions, ("Your Content") means all works and materials (including without limitation text, graphics, images, audio material, video material, audio-visual material, scripts, software and files) that you submit to us or our platform for storage or publication on, processing by, or transmission via, our platform.

You grant us a worldwide, irrevocable, non-exclusive, royalty-free, sublicensable, and transferable license to:

  • Use, host, store, cache, reproduce, and display Your Content to operate and provide the Service
  • Modify, adapt, or create derivative works solely for technical purposes (e.g., formatting for mobile display)
  • Share Your Content where you've chosen to make it public (e.g., shared Baskets)
  • Analyse Your Content to improve our Service and develop new features
  • Use Your Content for promotional purposes with your prior consent

9.1.2 License Duration

This license continues for a commercially reasonable period after you delete Your Content to allow for technical processes, cached copies, and backups, except where you request immediate deletion for privacy reasons.

9.1.3 Your Rights and Warranties

  • You retain all ownership rights in Your Content
  • You warrant that you have all necessary rights to grant this license
  • You warrant that Your Content complies with these Terms and all applicable laws
  • You acknowledge that we are not obligated to monitor, use, or display Your Content
  • You may edit Your Content to the extent permitted using the editing functionality made available on our platform.

9.1.4 Moral Rights

To the extent permitted by applicable law, you waive any moral rights in Your Content. Where such waiver is not permitted, you agree not to assert such rights against us or our licensees.

9.2 Content Standards

You warrant and represent that Your Content will comply with these terms and conditions. Your Content must not be illegal or unlawful, must not infringe any person's legal rights, and must not be capable of giving rise to legal action against any person (in each case in any jurisdiction and under any applicable law).

Your Content must not:

  1. Violate any applicable law or regulation
  2. Infringe any intellectual property rights, including copyright, trademark, patent, or trade secrets
  3. Breach any legal duty owed to a third party (such as confidentiality obligations)
  4. Violate publicity, privacy, or data protection rights

Harmful or Offensive Content: 5. Be defamatory, libellous, or factually inaccurate 6. Be obscene, pornographic, or sexually explicit 7. Promote violence, terrorism, or illegal activities 8. Be threatening, abusive, harassing, or likely to cause distress 9. Contain hate speech or promote discrimination based on protected characteristics

Deceptive Practices: 10. Mislead or deceive users about products, prices, or availability 11. Impersonate others or misrepresent affiliations 12. Contain false or misleading reviews or ratings 13. Constitute fraud or phishing attempts

Technical Violations: 14. Contain malicious code, viruses, or corrupted files 15. Attempt to gain unauthorised access to systems 16. Disrupt or interfere with the Service

Commercial Abuses: 17. Constitute spam, chain letters, or pyramid schemes 18. Include unauthorised advertising or promotional materials 19. Violate our referral program terms or attempt to game the system 20. Attempt to manipulate or "game" the cashback system through: - Creating fake purchases or immediate refunds - Coordinating with others to exploit promotions - Using automated tools to maximize rewards - Any pattern of behavior designed to extract value without genuine shopping intent

Your Content must be appropriate, civil and tasteful, and accord with generally accepted standards of etiquette and behaviour on the internet.

You must not use our platform to link to any platform or web page consisting of or containing material that would, were it posted on our platform, breach the provisions of these terms and conditions.

You must not submit to our platform any material that is or has ever been the subject of any threatened or actual legal proceedings or other similar complaint.

9.3 Prohibited Conduct

When using our Service, you must not:

  1. Use the Service for any unlawful, illegal, fraudulent, or harmful purpose
  2. Engage in any activity that violates applicable laws or regulations
  3. Use the Service in connection with any deceptive or unethical practices
  4. Attempt to gain unauthorised access to our systems, servers, or other users' accounts
  5. Circumvent, disable, or interfere with any security features or access restrictions
  6. Use any robot, spider, scraper, or other automated means to access the Service, except for search engine indexing
  7. Violate the directives set out in our robots.txt file
  8. Introduce or transmit viruses, worms, Trojan horses, keystroke loggers, rootkit, or any other malicious code or software
  9. Take any action that imposes an unreasonable load on our infrastructure
  10. Interfere with, disrupt, or attempt to disrupt the Service, servers, or networks
  11. Conduct systematic or automated data collection (including scraping, data mining, extraction, or harvesting) without our express written consent
  12. Use data collected from our platform to contact individuals, companies, or other entities
  13. Use collected data for direct marketing activities (including email, SMS, telemarketing, or direct mail)
  14. Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  15. Provide false, inaccurate, outdated, incomplete, or misleading information
  16. Create multiple accounts to circumvent restrictions or exploit our Service
  17. Resell, lease, or commercially exploit the Service without our written authorisation
  18. Use the Service to transmit unsolicited commercial communications or spam
  19. Use the Service for competitive analysis or to build a competing product
  20. Use the Service to store, host, transmit, or distribute Content that violates these Terms
  21. Link to or promote Content that contains malicious software or harmful code

You acknowledge that any violation of these prohibitions may result in immediate termination of your account and access to the Service, and may subject you to legal action.

9.4 Content Moderation

We reserve the right to:

  • Review all Content before or after publication
  • Remove or refuse to display Content that violates these standards
  • Suspend or terminate accounts for repeated violations
  • Report illegal Content to appropriate authorities
  • Take any action necessary to protect our users, partners and Service

10. Privacy and Data Protection

Basket reserves the right to review all published and non-published Content created by its users, this includes all attached files and associated links. Basket may analyse attachments manually or with automated assistance in order to understand trend data and to generate other insights.

Your data is considered to be your profile photo, name, username, email address, phone number, date of birth and any Content you add to Basket 'lists' or 'baskets' which may include text, images, and emoji reactions.

We may use automated systems, including artificial intelligence (AI), to analyse your data and behaviour to personalise your experience, generate insights, or provide recommendations. These systems are monitored and reviewed regularly to ensure fairness and accuracy.

10.1 Data Processing

We process personal data in accordance with:

  • UK General Data Protection Regulation (UK GDPR)
  • Data Protection Act 2018
  • Privacy and Electronic Communications Regulations 2003
  • Applicable data protection laws in Ireland and India

10.2 Types of Data Collected

We collect:

  • Account information (email, name, authentication data)
  • Shopping behaviour (bookmarked products, price alerts, purchases)
  • Technical data (IP address, device information, cookies)
  • Communications (customer service interactions)

10.3 Data Usage

Basket agrees not to sell any of your data for direct marketing purposes. We will never disclose your profile photo, email, phone number, or personal information to 3rd parties, we may however anonymise your data so that we can better understand our user base and make available new features to you or 3rd parties based upon this anonymised data.

  • We NEVER sell personal data to third parties
  • We NEVER share email addresses or phone numbers with retailers or partners
  • We may share anonymised, aggregated behavioural data for market insights
  • We only disclose personal data when legally required

10.6 Your Rights

Under UK GDPR and the Data Protection Act 2018, you have the following rights:

  • Access: Obtain confirmation of what personal data we hold and receive a copy
  • Rectification: Correct any inaccurate or incomplete personal data
  • Erasure: Request deletion of your personal data ("right to be forgotten")
  • Restriction: Limit how we process your personal data
  • Portability: Receive your data in a structured, commonly used format
  • Objection: Object to processing based on legitimate interests or direct marketing
  • Automated Decision-Making: Not be subject to solely automated decisions with legal effects

  • Our software, algorithms, and code
  • The Basket name, logo, and branding
  • All content we create (except User Content)
  • Our databases and data compilations

All rights not expressly granted are reserved.

11.2 Third Party Intellectual Property

The third party registered and unregistered trademarks or service marks on our platform are the property of their respective owners and, unless stated otherwise in these terms and conditions, we do not endorse and are not affiliated with any of the holders of any such rights and as such we cannot grant any licence to exercise such rights.

11.3 Permitted Use

You may:

  • Access and use the Service for personal shopping purposes
  • Bookmark webpage and product links to Basket
  • Share product links created by Basket
  • Share basket links created by Basket
  • Share referral links created by Basket
  • Purchase gift cards for yourself
  • Apply automated coupons at checkout
  • Print or save content for personal reference
  • Use our browser extension on supported browsers

Except as expressly permitted by these terms and conditions, you must not download any material from our platform or save any such material to your computer. You may only use our platform for your own personal and business purposes, and you must not use our platform for any other purposes.

Except as expressly permitted by these terms and conditions, you must not edit or otherwise modify any material on our platform.

Unless you own or control the relevant rights in the material, you must not:

  • Copy, modify, or create derivative works
  • Reverse engineer or decompile our software
  • Remove copyright or proprietary notices
  • Use our trademarks without permission
  • Republish or redistribute our content commercially
  • Use automated systems to access the Service
  • Violate our robots.txt directives

Notwithstanding this Section 11, you may redistribute our newsletters in print and electronic form to any person.

We reserve the right to restrict access to areas of our platform, or indeed our whole platform, at our discretion; you must not circumvent or bypass, or attempt to circumvent or bypass, any access restriction measures on our platform.

11.4 Third-Party Content

Product information, images, and trademarks displayed on our platform belong to respective retailers and manufacturers. We display these under licence or fair dealing provisions for shopping comparison purposes.

11.5 Third-Party Platforms

Our platform includes hyperlinks to other platforms owned and operated by third parties; such hyperlinks are not recommendations. We have no control over third party platforms and their contents, and subject to Section 14 we accept no responsibility for them or for any loss or damage that may arise from your use of them.

11.6 Feedback

Any feedback, suggestions, or ideas you provide become our property. We may use these without compensation or attribution for any purpose.

12. Payment Terms

12.1 Payment Processing

  • All payments are processed by Stripe, our PCI DSS Level 1 compliant payment processor
  • We do not store or have access to your full payment card details
  • All transactions use SSL encryption

12.2 Pricing and Fees

  • Core Basket services are free of charge
  • Gift cards are sold at face value with no markup
  • Affiliate commissions are paid by retailers from their margins
  • Cashback is funded from our commission arrangements
  • All prices displayed in GBP (£) unless otherwise stated
  • VAT included where applicable

12.3 Currency and Taxes

  • Primary currency is GBP (£)
  • You are responsible for any additional taxes in your jurisdiction
  • We may be required to collect VAT or other taxes on digital services
  • Tax invoices available on request for business users

12.4 Refunds and Disputes

  • Gift card purchases are non-refundable (see Section 7.4)
  • For payment disputes, contact us first at hello@trybasket.com
  • Unresolved disputes may be escalated to your card issuer
  • Chargebacks may result in account suspension pending investigation

13. Disclaimers and Warranties

13.1 Service Availability

We reserve the right to discontinue or alter any or all of our platform and Services, and to stop publishing our platform, at any time in our sole discretion without notice or explanation; and save to the extent expressly provided otherwise in these terms and conditions, you will not be entitled to any compensation or other payment upon the discontinuance or alteration of any platform services, or if we stop publishing the platform.

We do not warrant or represent that:

  • The Service will be uninterrupted or error-free
  • All products or retailers will remain available
  • Price information will be accurate at time of purchase
  • All features will be available in all jurisdictions
  • The Service will meet your specific requirements

13.2 Third-Party Services

  • We are not party to transactions between you and retailers
  • Product availability and pricing are controlled by retailers
  • We do not endorse or warrant third-party products or services
  • Retailer terms and conditions apply to all purchases
  • We are not responsible for retailer performance or issues

13.3 No Professional Advice

The Service does not constitute:

  • Financial, investment, or tax advice
  • Legal or professional consultation
  • Endorsement of any products or retailers
  • Guarantee of best prices or deals

13.4 Limitation of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE"
  • WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED
  • INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PURPOSE

14. Limitation of Liability

Nothing in these Terms excludes or limits liability for:

  • Death or personal injury resulting from negligence
  • Fraud or fraudulent misrepresentation
  • Breach of terms implied by Consumer Rights Act 2015
  • Any liabilities in any way that is not permitted under applicable law; or
  • Any liabilities that may not be excluded under applicable law.

The limitations and exclusions of liability set out in this Section 14 and elsewhere in these terms and conditions:

  • are subject to Section 14.1; and
  • govern all liabilities arising under these terms and conditions or relating to the subject matter of these terms and conditions, including liabilities arising in contract, in tort (including negligence) and for breach of statutory duty, except to the extent expressly provided otherwise in these terms and conditions.

14.2 Limitations

To the extent that our platform and the information and services on our platform are provided free of charge, we will not be liable for any loss or damage of any nature. We will not be liable to you in respect of any losses arising out of any event or events beyond our reasonable control.

Subject to Section 14.1, we will not be liable for:

  • Indirect or consequential losses or damage
  • Loss of profits, sales, business, or revenue
  • Business interruption
  • Loss of anticipated savings or opportunities
  • Loss of goodwill or reputation
  • Loss or corruption of data, database or software
  • Any special, punitive, or exemplary damages

Without limiting the general provisions above, we specifically exclude liability for:

  • Cashback not earned due to ad blockers, privacy tools, or browser settings
  • Points lost due to user error in redemption process
  • Delays in merchant verification of affiliate commissions
  • Changes to cashback rates between viewing and purchase
  • Technical issues preventing proper tracking of purchases

14.3 Financial Limits on Liability

Subject to Section 14.1, our total aggregate liability to you in any 12-month period, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the greater of:

(a) £100; or (b) The total amounts paid by you to us in the 12 months immediately preceding the event giving rise to liability; or (c) For Creator accounts: £1,000

This limitation applies per claim and in aggregate for all claims in any 12-month period.

14.4 Limitations of Personal Liability

You accept that we have an interest in limiting the personal liability of our officers and employees and, having regard to that interest, you acknowledge that we are a limited liability entity; you agree that you will not bring any claim personally against our officers or employees in respect of any losses you suffer in connection with the platform or these terms and conditions (this will not, of course, limit or exclude the liability of the limited liability entity itself for the acts and omissions of our officers and employees).

14.5 User Responsibility

You acknowledge that:

  • We have an interest in limiting personal liability of our officers and employees
  • You will not bring claims personally against our staff
  • You use the Service at your own risk
  • You are responsible for your purchasing decisions

14.6 Report Abuse

If you learn of any unlawful material or activity on our platform, or any material or activity that breaches these terms and conditions, please let us know. You can let us know about any such material or activity by email, through our inbuilt support feature, or via the contact details below.

15. Indemnification

You hereby indemnify, defend, and hold harmless Intent Technologies Ltd, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs liabilities and expenses (including without limitation legal expenses and any amounts paid by us to a third party in settlement of a claim or dispute) arising from:

  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Your Content or use of the Service
  • Any unauthorised use of your account
  • Any claim relating to purchases you make through retailers
  • Your negligence or wilful misconduct

We reserve the right to assume exclusive control of any matter subject to indemnification, and you agree to cooperate with our defence.

16. Term and Termination

16.1 Term

These Terms commence when you first use the Service and continue until terminated by either party.

16.2 Termination by You

You may terminate your account at any time by:

  • Using the account deletion feature, accessed from your settings page in-app
  • Contacting us at hello@trybasket.com

Before termination, ensure you:

  • Withdraw any cashback balance above 1,000 points (£10.00) that meets the minimum cashout criteria stipulated in Section 4.4
  • Export any data you wish to retain
  • Cancel any pending transactions

16.3 Termination by Us

Without prejudice to our other rights under these Terms, we may suspend or terminate your account immediately if:

  • You breach these Terms materially
  • We reasonably suspect that you have breached these terms
  • We suspect fraudulent or illegal activity
  • Required by law or court order
  • Your account is inactive for 12+ months
  • You exceed fair usage limits repeatedly

If we decide to suspend or terminate your account, we may:

  • Send you one or more formal warnings unless prohibited by law or it would compromise security
  • Temporarily suspend your access to our platform and Services
  • Permanently prohibit you from accessing our platform and Services
  • Block devices using your IP address from accessing our platform and Services
  • Contact any or all of your internet service providers and request that they block your access to our platform and Services
  • Commence legal action against you, whether for breach of contract or otherwise; and/or
  • Suspend or delete your account on our platform.

Examples of activity that may result in immediate termination:

  • Creating multiple accounts (including after previous termination)
  • Earning patterns suggesting automated or fraudulent activity
  • Exceeding 500 transactions per month across all activity types
  • Systematic exploitation of promotional offers
  • Providing false information during tax verification

Where we suspend or prohibit or block your access to our platform or a part of our platform, you must not take any action to circumvent such suspension or prohibition or blocking (including without limitation creating and/or using a different account).

16.4 Effect of Termination

16.4.1 Upon termination

  • Your access to the Service ceases immediately
  • We may delete your data per our retention policy
  • You forfeit all points you have earned from the Basket Points Program (Section 4), including any unused cashback points and referral points
  • The following Sections survive termination: 9 (Content License), 10 (Privacy), 11 (Intellectual Property), 14 (Limitation of Liability), 15 (Indemnification), 17.1 (Entire Agreement), 17.3 (Severability), 18 (Governing Law and Disputes), and any other provisions that by their nature should survive.
  • You remain liable for any outstanding obligations

16.4.2 Data Retention Post-Deletion

  • Transaction records: 6 years (legal requirement)
  • Points history: 24 months (for dispute resolution)
  • Personal data: Deleted within 30 days except as legally required
  • Marketing data: Immediately deleted

17. General Provisions

17.1 Entire Agreement

Subject to Section 14.1, these Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements.

17.2 Variation

We may revise these Terms at any time.

The revised Terms shall apply to the use of our platform from the date of publication of the revised Terms on the platform, and you hereby waive any right you may otherwise have to be notified of, or to consent to, revisions of these Terms.

Material changes will be notified via email or in-app notice. Continued use after changes indicates your acceptance.

17.3 Severability

If a provision of these Terms is determined by any court or other competent authority to be unlawful and/or unenforceable, the other provisions will continue in effect.

If any unlawful and/or unenforceable provision of these Terms would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue in effect.

17.4 Assignment

You hereby agree that we may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under these Terms. You may not without our prior written consent assign, transfer, sub-contract or otherwise deal with any of your rights and/or obligations under these Terms.

17.5 No Waiver

Our failure to enforce any provision is not a waiver of that provision. Any waiver must be in writing and signed by us.

17.6 Competitions and Prize Draws

We may run competitions and prize draws offering products, points, or cash prizes, sometimes in partnership with brands.

Competition Rules:

  • Each competition has specific terms displayed at entry
  • UK residents only unless otherwise stated
  • Minimum age 18 unless specified
  • Employees and immediate family members excluded
  • One entry per person unless stated otherwise

Winner Selection:

  • Skill-based competitions: judged on merit
  • Prize draws: random selection under independent supervision
  • Winners notified within 30 days of closing
  • Unclaimed prizes may be reawarded after 30 days

Legal Compliance:

  • All competitions comply with Gambling Act 2005
  • Free entry route always available for prize draws
  • No purchase necessary where required by law
  • Winners may be required to participate in publicity

By entering any competition, you accept the specific competition terms and these general rules.

17.7 Third-Party Rights

The contract created by these Terms is between Intent Technologies Ltd and you as the user of our Service. It is not intended to benefit or be enforceable by any third party, including but not limited to retailers, gift card issuers, payment processors, or other users.

No person who is not a party to these Terms shall have any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of these Terms, regardless of whether such person or entity is named, referred to, or otherwise identified in these Terms.

The parties' rights to terminate, rescind, or agree any variation, waiver or settlement under these Terms are not subject to the consent of any third party.

This clause does not affect any rights or remedies of third parties that exist or are available independently of the Contracts (Rights of Third Parties) Act 1999.

17.8 Force Majeure

Neither party is liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, epidemic or pandemic, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.

17.9 Notices

Notices to us should be sent to:

Notices to you will be sent to your registered email address.

Email notices are deemed received upon delivery, provided that any automatic "out of office" or similar response shall not constitute receipt.

Email notices to users will be sent from @trybasket.com domains only. We will never request sensitive information via email.

17.10 Relationship

Nothing in these Terms creates any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us.

18. Governing Law and Disputes

18.1 Governing Law

These Terms are governed by and construed in accordance with English law.

18.2 Jurisdiction

The courts of England and Wales have exclusive jurisdiction over any disputes, subject to Section 18.3.

18.3 Dispute Resolution

Before initiating legal proceedings:

  1. Contact our support team at hello@trybasket.com
  2. If unresolved within 14 days, submit a formal complaint to complaints@trybasket.com
  3. We will acknowledge within 48 hours and respond fully within 14 days
  4. If still unresolved, you may pursue alternative dispute resolution or court proceedings

18.4 Consumer Rights

Nothing in these Terms affects your statutory rights as a consumer under UK law.
